means an on premise license to Software, where Maintenance fees are in addition to the Software license fees and the right to use the Software is for an indefinite period of time, unless applicable law renders a perpetual license invalid, in which case, “Perpetual” means the right to use the Software for a period of ninety-nine (99) years from the Order Form Effective Date.
